1. Agreement to terms
By using SprigR Pty Ltd (ABN 55 697 506 068), trading as Sprigr ("Sprigr", "we", "us") services, including Sprigr Search and Sprigr Team, you agree to these terms. If you're using them on behalf of a company, you confirm you have authority to bind that entity.
2. Description of services
Sprigr Search - full-text and semantic search via REST API and MCP server. Indexes run client-side in the browser or server-side via API.
Sprigr Team - AI agent platform with per-employee assistants, shared company knowledge, and multi-agent communication. Agents use third-party AI models.
3. Accounts
You need an account to use our services. Keep your credentials and API keys secure. You're responsible for all activity under your account. Let us know if you suspect unauthorised access.
4. Your data
Your data is yours. We don't claim ownership and we don't use it for anything other than running the service. Make sure you have the right to store whatever you upload.
5. Acceptable use
Don't:
- Break any laws
- Store malicious code or harmful content
- Try to access other users' data or disrupt the service
- Send spam or phishing
- Reverse engineer the service (except where law allows)
- Resell without permission
- Use AI agents to impersonate people or generate illegal content
6. API usage and rate limits
API usage is subject to rate limits based on your plan. We may throttle access if usage significantly exceeds limits.
Don't share API keys publicly or put them in client-side code unless they're search-only keys.
7. Payment and billing
Paid plans are billed monthly or annually in advance. Sprigr Team token credits are charged as used. Fees are non-refundable except as required by Australian Consumer Law. See our Refund Policy for full details.
We'll give 30 days notice before price changes. You can cancel before the next billing period if you disagree.
8. Service availability
We aim for high availability but don't guarantee uninterrupted access. We'll give notice of planned maintenance where possible. Services run on a global edge network.
9. Intellectual property
Sprigr's logos, software, and docs are our IP. You can build and ship applications that use our API.
10. Third-party services
We use third-party providers for infrastructure, Anthropic (AI models), Google (auth), and Fat Zebra (payments). Their terms apply to their services.
AI output from Sprigr Team comes from third-party models. We don't guarantee its accuracy. Review AI output before relying on it.
11. Limitation of liability
To the extent permitted by law, we're not liable for indirect, incidental, or consequential damages. Total liability is capped at what you paid us in the previous 12 months.
Nothing here limits liability that can't be excluded under Australian Consumer Law.
12. Indemnification
You agree to indemnify Sprigr from claims arising from your use of the service or violation of these terms.
13. Termination
You can cancel anytime. Access continues until the end of your billing period. We may suspend accounts for terms violations or non-payment. Data is deleted within 30 days of termination.
14. Changes to these terms
We may update these terms with 30 days notice via email or website.
15. Governing law
Governed by the laws of Queensland, Australia. Disputes go to Queensland courts.
